Note for review: This Terms of Service is a draft tailored for a small hypnotherapy practice. The scope-of-practice language, liability disclaimers, and dispute resolution sections in particular should be reviewed by a licensed attorney familiar with state regulations for hypnotherapy in New Hampshire. State laws vary significantly on what hypnotherapists can claim, what disclaimers are required, and how disputes must be handled.
By accessing the Calm-Ops Hypnosis website at calmopshypnosis.com (the "Site") or using any services provided by Calm-Ops Hypnosis LLC, a New Hampshire limited liability company ("Calm-Ops Hypnosis," "we," "us," "our"), you ("you" or "Client") agree to these Terms of Service. If you do not agree with these terms, please do not use the Site or our services.
Important: Calm-Ops Hypnosis provides hypnotherapy services. Andrew Azevedo is a Certified Hypnotherapist and Professional Member of the American Hypnosis Association (Member #008081). Hypnotherapy is not a substitute for medical or mental health care provided by a licensed physician, psychologist, psychiatrist, or other licensed clinician.
Our services include but are not limited to hypnotherapy for stress management, sleep improvement, smoking cessation, performance anxiety, chronic discomfort (as adjunct to medical care), and other behavioral patterns within the scope of certified hypnotherapy practice.
Andrew Azevedo is a Certified Hypnotherapist, not a licensed medical doctor, psychologist, psychiatrist, licensed mental health counselor, or any other licensed healthcare professional. Our services:
If during the course of our work together we determine that what you are experiencing is outside our scope of practice, we will refer you to an appropriate licensed provider and may discontinue services until clinical care is established.
Every prospective client is screened during the intake conversation before beginning hypnotherapy work. This screening helps us determine whether your situation falls within our scope of practice and whether any additional consents are required before we proceed.
If you are experiencing symptoms (for example: stress, poor sleep, smoking, performance pressure, generalized tension) and do not have a corresponding medical or mental health diagnosis, we may proceed with hypnotherapy work focused on those symptoms. We are not diagnosing you, and any improvement in symptoms is not a treatment of an underlying condition.
If you have a medical or mental health diagnosis and are currently under the care of a treating provider for that diagnosis, we require a signed consent form from that provider before we begin hypnotherapy work related to the diagnosis. The signed form must be on the provider's letterhead or on a form supplied by us and signed by the provider, and it must acknowledge that the provider is aware you are pursuing hypnotherapy as a complementary service.
We will not proceed with work related to the diagnosis until a signed provider consent is on file. We may, in our discretion, work with you on unrelated issues while you obtain the provider consent for the diagnosed condition.
If you have a prior medical or mental health diagnosis but are not currently under provider care for that condition, you may proceed with hypnotherapy without provider consent. By proceeding, you acknowledge that the decision to pursue hypnotherapy outside of clinical care is your own, and you accept responsibility for that decision.
If at any point during our work together you begin treatment with a provider for a diagnosed condition that intersects with what we are working on, you agree to inform us promptly. We may then pause work and request provider consent before resuming work on issues connected to the diagnosis.
We reserve the right to decline to begin or to discontinue hypnotherapy work at any time if, in our judgment, the work falls outside our scope of practice, the appropriate provider consent has not been obtained, or continued work would not be in the client's best interest. In such cases we will refer you to an appropriate licensed provider.
With your written consent, sessions may be recorded for your benefit (so you can replay an induction or revisit our work) and intake conversations may be captured using Plaud AI, a secure AI-powered recorder, for the purpose of building your intake history, tracking progress between sessions, and personalizing your care. Zoom recordings of virtual sessions, when made, are also only made with your explicit consent at the start of the session.
Consent to record is documented separately during intake and may be withdrawn at any time without affecting your access to services. You may request a copy of any recording made of you, request deletion of recordings, or decline future recordings. Full details of how recordings are stored, used, and deleted are described in our Privacy Policy.
You agree that consent for recording is given knowingly, that you understand New Hampshire is a one-party consent state for audio recording, and that recordings made with your consent are the property of Calm-Ops Hypnosis LLC subject to your rights described above and in our Privacy Policy.
You agree not to record any session, in whole or in part, by audio, video, screen capture, or any other means, without the prior written consent of Calm-Ops Hypnosis LLC. This prohibition applies in person and during virtual sessions. Sessions include our proprietary inductions, scripts, and techniques, which are the intellectual property of Calm-Ops Hypnosis LLC. Unauthorized recording is a material breach of these Terms and may result in immediate termination of services and legal action under Section 16 (Intellectual property).
Photography, filming, or audio recording of any kind within the Calm-Ops Hypnosis office premises (including the waiting area, treatment room, and any common areas) requires the prior written consent of Calm-Ops Hypnosis LLC. This applies to clients, guests, and any third parties.
A "session" means the scheduled appointment time during which we provide hypnotherapy services. A standard session is sixty (60) minutes in duration unless otherwise specified in writing. The session begins at the scheduled start time, regardless of when the client arrives, and ends at the scheduled end time. Brief check-in and orientation before, and brief debrief after, are part of the session, not additions to it.
Calm-Ops Hypnosis LLC provides hypnotherapy services in two formats: in-person sessions at our office located at 405 The Hill, Portsmouth, New Hampshire, and virtual sessions conducted by videoconference (Zoom). Because hypnotherapy is regulated differently in every U.S. state, this Section governs where we can provide services and what is required to receive them.
Any client of any U.S. state residency may receive in-person services at our Portsmouth, New Hampshire office. When you receive services in person at our office, you are physically located in New Hampshire for the duration of the session, and the laws of New Hampshire apply to the session regardless of your state of residence. Clients from states where we do not provide virtual services are welcome to travel to our New Hampshire office for in-person services.
We currently provide virtual hypnotherapy services to clients who are physically located in the following U.S. states at the time of each session:
We reserve the right to expand or restrict this list of served states at any time, in our sole discretion. The list of currently served states will be made available upon request.
We do not currently provide virtual services to clients who are physically located in the following U.S. states, due to state-specific regulatory requirements that we have not yet completed:
If you are physically located in a prohibited state, we cannot accept you for virtual services. You may still receive in-person services at our New Hampshire office under Section 6.1.
For California-resident clients receiving virtual services, you will be provided with our California Disclosure of Services document before your first session. This disclosure is provided in compliance with California Business and Professions Code Sections 2053.5, 2053.6, and 2908, and you must sign and return the acknowledgment before services may begin. Services to California clients are limited to vocational and avocational self-improvement and do not include the diagnosis or treatment of emotional or mental disorders.
For U.S. states not listed in Sections 6.2 or 6.3, we will evaluate eligibility on a case-by-case basis during intake. You may be required to provide additional information about your state’s applicable laws, and we may decline services at our sole discretion based on regulatory considerations.
We do not currently provide services to clients who are physically located outside of the United States, regardless of citizenship or residency. This restriction is due to international data privacy regulations (including but not limited to the European Union General Data Protection Regulation and the Canadian Personal Information Protection and Electronic Documents Act) and the complexity of cross-border professional services.
At the start of each virtual session, you will be asked to confirm the U.S. state in which you are physically located. By beginning the session, you represent and warrant that you are physically located in a state in which we are authorized to provide virtual services, that you are at least 18 years of age (or that a parent or legal guardian has provided consent and is present, per Section 24), and that you are not located outside of the United States.
By engaging our services from any U.S. state, you represent and warrant that, to the best of your knowledge, the receipt of hypnotherapy services as described in these Terms is lawful in the state in which you are physically located. You acknowledge that Calm-Ops Hypnosis LLC has made reasonable efforts to comply with the applicable regulatory frameworks of the served states, and you agree to bear responsibility for any state-specific compliance issues arising from circumstances we could not reasonably have known.
If at any time we learn that you are physically located in a prohibited state, or in a state where we determine we cannot lawfully provide services, we reserve the right to terminate services immediately, without notice, and without obligation to refund fees paid for completed sessions. Fees paid for sessions that have not yet been delivered may be refunded at our discretion. This Section does not apply to in-person services at our New Hampshire office, which are governed by New Hampshire law regardless of client residency.
Because audio and video recording laws vary by state (some states require single-party consent, others require all-party consent), we apply the most protective standard to all recordings: any recording made during a session, whether in-person or virtual, is made only with the explicit, informed, written consent of the client, regardless of the jurisdiction in which the client is located. This protects clients in all served states uniformly. See Section 5 for additional details on recording practices.
Hypnotherapy outcomes vary by individual. We make no guarantee, warranty, or representation that you will achieve any specific result from our services. Results depend on numerous factors including your individual circumstances, the specific issue being addressed, your engagement with the work, and factors outside our control.
Sessions are booked through our website, by phone, or by email. Standard session rate is $150 per session. Military rate (for active service members, veterans, and immediate family) is $80 per session. Programs are paid upfront at the rates published on our pricing page.
Payment is processed through Stripe. By providing payment information, you authorize the charge for the session or program you are booking.
We ask for 24 hours' notice if you need to cancel or reschedule a session. Cancellations made less than 24 hours before the scheduled appointment may be charged the full session fee.
If during your first session you determine within the first 15 minutes that hypnotherapy is not the right fit, we will end the session and refund the session fee in full.
Programs paid upfront may be partially refunded as follows: if you choose to discontinue before completing the program, you may receive a refund of remaining unused sessions at the single-session rate (not at the program rate). Used sessions are billed at the single-session rate, and any difference owed is refunded.
A "no-show" means failing to attend a scheduled session without canceling at any point beforehand. No-shows are charged the full session rate. No-shows do not earn rescheduling at a discount, and a second no-show may result in pre-payment requirements for all future sessions or termination of services at our discretion.
If you arrive late to a session, the session still ends at its originally scheduled end time. The full session rate is charged regardless of how much of the session you used. We do not extend session times to accommodate late arrivals, as doing so would disrupt other scheduled clients.
The 20-minute initial consultation is provided at no charge and is not subject to refund.

When engaging our services, you agree to:
By providing us with your phone number, email address, or other contact information, you consent to receive electronic communications from Calm-Ops Hypnosis LLC related to your services, including but not limited to appointment confirmations, reminders, follow-up messages, intake materials, billing notices, policy updates, and administrative communications. These messages may be delivered by email, SMS text message, voice call, or messaging platform.
From time to time we may send marketing communications, including newsletters, content offerings, promotional discounts, and information about new services. Marketing communications are sent only with your consent. You may consent or decline at the time of intake, and you may withdraw consent for marketing communications at any time by replying STOP to any SMS, clicking unsubscribe in any email, or emailing [email protected]. Withdrawing consent for marketing does not affect your access to service-related communications.
Standard message and data rates from your mobile carrier may apply to SMS and other electronic communications. Calm-Ops Hypnosis LLC is not responsible for any carrier fees you incur.
Message frequency varies based on your engagement with our services and your communication preferences. We do not send unsolicited bulk messages.
If you are in crisis or experiencing thoughts of harming yourself or others, please contact emergency services (911), the 988 Suicide and Crisis Lifeline (dial 988), or the Veterans Crisis Line (988, press 1) immediately. Calm-Ops Hypnosis is not a crisis service and cannot provide emergency intervention.
What you share with us during sessions is kept confidential, subject to the exceptions described in our Privacy Policy. Note that Certified Hypnotherapists in most jurisdictions are not covered by therapist-patient privilege in the same manner as licensed clinicians.
The Site is provided for informational purposes. Content on the Site is not medical or mental health advice and should not be relied upon as a substitute for professional consultation. The Site may include links to third-party websites; we are not responsible for the content or practices of those sites.
All content on the Site, including text, images, design, and branding, is the property of Calm-Ops Hypnosis and protected by copyright and trademark law. You may not reproduce, distribute, or create derivative works without our written permission, except for personal, non-commercial use.
All content created and distributed by Calm-Ops Hypnosis LLC, including but not limited to hypnosis audio tracks, podcast episodes, guided meditations, video content, written articles, PDFs, worksheets, and all visual branding, is the intellectual property of Calm-Ops Hypnosis LLC and is protected by copyright and other intellectual property laws.
Some of our content is offered free of charge to support your practice and well-being. Free content remains the intellectual property of Calm-Ops Hypnosis LLC. By accessing, downloading, or using our free content, you agree to use it for your personal, non-commercial use only. You may share the original file or link with friends and family, and you may share excerpts on social media with attribution to Calm-Ops Hypnosis.
Without our express written permission, you may not: sell, sublicense, or otherwise commercialize our content; remove, alter, or obscure our branding, watermarks, or attribution; modify, edit, remix, or create derivative works from our content; incorporate our content into your own hypnotherapy, coaching, or wellness business; redistribute our content on third-party platforms, podcast networks, audio libraries, or content marketplaces without attribution and consent; or mass-distribute our content in any form.
Calm-Ops Hypnosis LLC reserves all rights with respect to the use of our content for training, fine-tuning, or otherwise developing artificial intelligence systems, machine-learning models, large language models, voice-cloning systems, or any similar technologies. We expressly reserve the right to opt out of, restrict, or prohibit such use, and our content may not be ingested, scraped, or otherwise used as training data without our express written permission.
Unauthorized use of our content may result in legal action, including but not limited to claims for copyright infringement, breach of these Terms, and recovery of damages and attorneys' fees.
We use real client stories and outcomes to demonstrate the impact of our work and to help prospective clients understand what hypnotherapy can offer. We do this in two distinct ways: with your explicit written consent, and without identifying you.
The following content is only used in our promotional materials, podcast episodes, social media, website, and marketing if you have signed a separate Promotional Use Consent form:
Promotional Use Consent is separate from these Terms and from your consent to receive services. You may decline promotional consent without affecting your access to services. You may withdraw promotional consent at any time by emailing [email protected], and we will cease future use of the consented content and make reasonable efforts to remove or replace existing uses.
We may share paraphrased themes, patterns, and observations from our work in podcast episodes, articles, and educational content, without identifying you. We do this only in ways that do not reveal your identity, including but not limited to your name, the specific issue we worked on, identifying details of your life, your military branch or unit, your employer, or any combination of facts that could reasonably identify you.
Anonymized paraphrased content is used to teach, illustrate, and educate, not to disclose. By engaging in services with us, you acknowledge and agree that we may discuss the general nature of our work in this anonymized manner.
If you submit a testimonial through our submission form, you grant Calm-Ops Hypnosis LLC the right to publish it as described in that form. You may request removal of your published testimonial at any time by emailing [email protected].
Calm-Ops Hypnosis LLC is not liable for any failure or delay in performance of our services caused by events outside our reasonable control, including but not limited to: acts of God; natural disasters; severe weather (snowstorms, hurricanes, flooding); fires; loss of power or internet connectivity; pandemics, epidemics, or public health emergencies; government-ordered closures or restrictions; acts of war or terrorism; civil unrest; labor disputes; or damage to our premises that renders them unusable.
In the event of such disruption, we will make reasonable efforts to reschedule affected sessions or to provide alternative arrangements (such as virtual sessions in lieu of in-person sessions, where appropriate). Programs paid in advance will be honored on a reschedule basis, not refunded, unless the disruption extends beyond ninety (90) days, in which case unused portions of paid programs will be refunded on a prorated basis.
To the maximum extent permitted by law, Calm-Ops Hypnosis, Andrew Azevedo, and our affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or the Site. Our total liability for any claim arising from our services is limited to the amount you paid for the specific service giving rise to the claim.
This limitation does not apply to liability that cannot be limited by law, such as liability for gross negligence or willful misconduct.
You agree to indemnify and hold harmless Calm-Ops Hypnosis, Andrew Azevedo, and our affiliates from any claims, damages, or expenses arising from your use of our services in violation of these Terms or applicable law.
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. BY AGREEING TO THESE TERMS, YOU AND CALM-OPS HYPNOSIS LLC AGREE TO THE TERMS OF THIS SECTION.
If a dispute arises between you and Calm-Ops Hypnosis LLC, you agree to first attempt to resolve the dispute informally by sending written notice of the dispute to [email protected]. The notice must describe the nature of the dispute, the specific facts, the relief sought, and your contact information. We will respond within thirty (30) days and engage in good-faith negotiation to resolve the dispute.
If the dispute is not resolved through informal negotiation within sixty (60) days of written notice, either party may request that the dispute be submitted to non-binding mediation in Portsmouth, New Hampshire, with a mutually agreed mediator. Each party bears its own mediation costs unless otherwise agreed. Mediation is a prerequisite to arbitration; neither party may initiate arbitration until mediation has been attempted in good faith or declined in writing by the other party.
If the dispute is not resolved through mediation, you and Calm-Ops Hypnosis LLC agree that any remaining dispute, claim, or controversy arising out of or relating to these Terms, our services, or our relationship (collectively, "Disputes") shall be resolved exclusively through final and binding arbitration, except for the disputes carved out in Section 20.4 below.
The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, or by another nationally recognized arbitration provider agreed upon in writing by both parties. The arbitration shall be conducted by a single neutral arbitrator. The arbitration shall take place in Portsmouth, New Hampshire, or by videoconference at the election of the party initiating arbitration. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.
The arbitrator has the exclusive authority to resolve any disputes regarding the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this agreement is void or voidable.
Arbitration fees shall be allocated in accordance with the AAA Consumer Arbitration Rules. To the extent permitted by those rules and applicable law, Calm-Ops Hypnosis LLC will pay any arbitration filing fees that exceed what you would have paid to file the same claim in court.
Notwithstanding Section 20.3, the following disputes are excluded from binding arbitration and may be brought in the state or federal courts located in Rockingham County, New Hampshire:
The carve-outs above do not waive either party's right to seek arbitration for any other Dispute.
YOU AND CALM-OPS HYPNOSIS LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. Unless both parties agree in writing, the arbitrator may not consolidate claims of more than one person and may not preside over any form of representative or class proceeding. If a court of competent jurisdiction determines that this class action waiver is unenforceable as to any particular claim or remedy, that specific claim or remedy (and only that claim or remedy) shall be severed from arbitration and brought in the courts described in Section 21.4, while all other claims shall remain subject to arbitration.
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS, OUR SERVICES, OR OUR RELATIONSHIP, WHETHER SUCH PROCEEDING IS RESOLVED THROUGH ARBITRATION OR IN COURT UNDER THE CARVE-OUTS IN SECTION 20.4.
These Terms are governed by and construed in accordance with the laws of the State of New Hampshire, without regard to its conflict-of-laws principles. The Federal Arbitration Act (9 U.S.C. §§ 1 et seq.) governs the interpretation and enforcement of the arbitration provisions in this Section 20.
In any arbitration, court proceeding, or other legal action arising out of or related to these Terms, the prevailing party is entitled to recover reasonable attorneys' fees and costs from the non-prevailing party, to the extent permitted by applicable law and the rules governing the proceeding.
You have the right to opt out of the binding arbitration and class action waiver provisions of this Section 20 by sending written notice of your decision to opt out to [email protected] within thirty (30) days of first agreeing to these Terms. The notice must include your name, the email address you used to engage our services, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms or your ability to receive our services. If you do not opt out within thirty (30) days, you will be bound by the arbitration and class action waiver provisions.
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date at the top of this page. Continued use of our services after a change indicates acceptance of the updated Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
Our services are generally available to adults eighteen (18) years of age and older. We may, at our discretion, accept clients between the ages of twelve (12) and seventeen (17) under the following conditions:
We do not provide services to children under twelve (12) years of age. We reserve the right to decline services to any prospective minor client at our sole discretion.
We welcome and serve active service members, veterans, and military dependents. Our services are provided privately and out-of-pocket and are not provided in coordination with, billed to, or as a substitute for care provided by the Department of Veterans Affairs (VA), TRICARE, or any military medical system, unless explicitly arranged in writing.
If you are currently engaged in mental health treatment through the VA or any other clinical provider for a diagnosed condition, the provider-consent requirements in Section 4 apply. We will not duplicate, replace, or contradict the care you receive from your treating providers, and we will defer to clinical care when scope-of-practice or clinical-acuity concerns arise.
Calm-Ops Hypnosis LLC uses third-party service providers, including a website host and customer relationship management platform (Hypno Biz in a Box / HighLevel), an AI-assisted note-taking platform (Plaud AI), a payment processor (Stripe), and a virtual-session platform (Zoom). Your data, including contact information, intake responses, communications, and authorized recordings, may be stored on servers operated by these providers, which may be located outside the State of New Hampshire and outside the United States.
Each provider maintains its own privacy policy and security measures. We select providers we believe to maintain reasonable security practices, but we cannot guarantee the security of any third-party system. By using our services, you acknowledge and accept the data-storage arrangements described in this Section and in our Privacy Policy.
We may, from time to time, refer clients to other providers (such as massage therapists, acupuncturists, mental-health clinicians, or physicians) when their services may be beneficial to you. Referrals are offered for your convenience and do not constitute an endorsement, warranty, or guarantee of the referred provider's services.
We will disclose to you in writing if any referral relationship involves compensation, commission, or any other form of remuneration. As of the effective date of these Terms, Calm-Ops Hypnosis LLC does not maintain any compensated affiliate relationships with referred providers.
These Terms, together with our Privacy Policy, our Promotional Use Consent form (if signed), our Minor Client Consent form (if applicable), our intake forms, and any other written agreements between you and Calm-Ops Hypnosis LLC, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether oral or written.
Unless otherwise specified in these Terms, all notices to Calm-Ops Hypnosis LLC must be sent by email to [email protected] or by mail to: Calm-Ops Hypnosis LLC, 405 The Hill, Portsmouth, NH 03801. Notices to you will be sent to the email address or mailing address you provided during intake or as you have subsequently updated. Notices are deemed received: (a) for email, on the date sent if no bounce or error message is received within twenty-four (24) hours; (b) for first-class mail, three (3) business days after deposit in the U.S. mail; and (c) for certified or overnight mail, on the date of confirmed delivery.
